The Honeywell Forge software platform will enable the digitalization of Sundyne's equipment, improving reliability and predictive maintenance operations.
In an all-cash transaction, Honeywell agreed to purchase Sundyne from Warburg Pincus for $2.16 billion. Sundyne's aftermarket services and differentiated equipment for process industries will enhance Honeywell's Energy and Sustainability Solutions (ESS) business segment, driving efficiency and supporting its global customer base with their energy security needs.
"The combination of Sundyne and Honeywell will add significant value for our customers, channel partners, and employees—and we're honored to join the Honeywell family," said Sundyne's CEO Mary Zappone. "There are numerous benefits that we can achieve together with Honeywell that will accelerate growth and improve efficiency for customers."
The acquisition follows Honeywell's planned separation of its Aerospace Technologies business and spin-off of the Advanced Materials segment.
Combined Business
Honeywell Universal Oil Products (UOP) will leverage Sundyne’s customer relationships, products, and technology to grow its refining, petrochemicals, LNG, and renewable fuels value chains. Also, the Honeywell Forge software, an Internet of Things platform, will digitalize Sundyne’s equipment to improve reliability, predictive maintenance operations, and the overall product offering. The combined company, with Honeywell’s R&D capabilities, will advance new pumps and compressors development.

In early October 2024, Air Products completed the sale of its LNG process technology and equipment business to Honeywell for $1.81 billion in cash. Initially announced in July 2024, transactional closing conditions have been met and regulatory approvals received. The divestiture of the LNG process technology and equipment business is strategic, allowing Air Products to focus on its two-pillar growth plan: growing its core industrial gases and related equipment businesses and to deliver clean hydrogen at scale.
Following the closed sale, related assets, manufacturing capability, and personnel associated with the LNG process technology and equipment business were successfully transferred to Honeywell. This includes approximately 475 employees and the coil-wound heat exchanger manufacturing facility in Port Manatee, FL.
And in May 2024, Honeywell and Weatherford worked together on a comprehensive emissions-management solution for upstream operators.
